These Terms & Conditions (“Terms”) govern your access to and use of our websites, CPaaS platforms, APIs, messaging services, voice solutions, omni-channel platforms, CRM-based products, and related services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.

1. Scope of Services

Texaavy Infotech provides Communication Platform as a Service (CPaaS) offerings, including but not limited to:

  • SMS (Domestic & International)
  • WhatsApp Business Messaging
  • RCS Messaging
  • Voice solutions (OBD, IVR, Toll-Free, Missed Call)
  • Omni-channel platforms and chatbots
  • CRM, ERP, and custom application integrations

Services are provided strictly for business and enterprise use.

2. Eligibility & Account Responsibility

  • You must be legally authorized to represent your organization to use our services.
  • You are responsible for maintaining the confidentiality of account credentials.
  • All activities performed using your account are your responsibility.

Texaavy Infotech reserves the right to suspend or terminate accounts for misuse or policy violations.

3. Customer Obligations

Customers agree to:

  • Use services only for lawful and authorized purposes
  • Obtain explicit user consent where required
  • Comply with all applicable laws and regulations, including telecom and data protection laws
  • Ensure message content is accurate, lawful, and non-misleading

You are solely responsible for the content, timing, and recipients of communications sent using our platform.

4. Regulatory & Compliance Requirements

Customers must comply with:

  • TRAI regulations and DLT requirements (India)
  • WhatsApp / Meta policies
  • Google RCS policies
  • Local telecom regulations in applicable countries

Texaavy Infotech acts as a technology provider and is not liable for customer non-compliance.

5. Message Content & Prohibited Use

You may not use our services to send or promote:

  • Spam, phishing, or unsolicited messages
  • Fraudulent, misleading, or deceptive content
  • Illegal products or services
  • Content that violates intellectual property rights
  • Content that is abusive, harmful, or offensive

Violation may result in immediate suspension or termination without notice.

6. Third-Party Platforms & Integrations

Our services may integrate with third-party platforms such as:

  • Telecom operators
  • WhatsApp (Meta)
  • Google RCS
  • Cloud service providers

Texaavy Infotech is not responsible for outages, delays, or policy changes caused by third parties.

7. Service Availability & Performance

While we strive to provide high availability:

  • Services are provided on a best-effort basis, subject to network and operator dependencies
  • Delivery rates and latency may vary based on destination, traffic type, and operator policies
  • Scheduled maintenance or upgrades may cause temporary disruptions

No service-level guarantees are implied unless expressly stated in a separate SLA.

8. Fees, Billing & Payments

  • Fees are based on agreed commercial terms or pricing plans
  • All payments must be made as per invoice terms
  • Taxes, duties, and levies are the responsibility of the customer
  • Failure to pay may result in service suspension

All fees paid are non-refundable, unless explicitly stated otherwise.

9. Intellectual Property Rights

  • Texaavy Infotech retains all rights to its platforms, software, APIs, and documentation
  • Customers retain ownership of their data and message content
  • No rights are transferred except limited usage rights required to deliver services

10. Data Privacy & Security

Use of our services is subject to our Privacy Policy, which forms an integral part of these Terms.
Customers acknowledge and agree to data processing necessary for service delivery.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Texaavy Infotech shall not be liable for indirect, incidental, or consequential damages
  • We are not responsible for business loss, revenue loss, or reputational damage
  • Liability, if any, shall not exceed the amount paid by the customer in the preceding billing cycle

12. Indemnification

You agree to indemnify and hold harmless Texaavy Infotech from claims arising due to:

  • Violation of these Terms
  • Regulatory non-compliance
  • Unauthorized or illegal use of services
  • Content sent using the platform

13. Suspension & Termination

Texaavy Infotech may suspend or terminate services:

  • For violation of Terms or policies
  • For regulatory or legal requirements
  • For security or operational risks
  • For non-payment of dues

Termination does not waive outstanding payment obligations.

14. Modifications to Terms

We reserve the right to modify these Terms at any time.
Updated Terms will be published on this page and are effective immediately upon posting.

15. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of courts located in Bengaluru, Karnataka.
